General Terms of Sale
These General Terms of Sale apply to product sales made by Lilyane Distribution SAS to professional customers.
They do not govern purchases made by Lilyane Distribution from its suppliers, which are subject to the General Terms of Purchase or to specific agreements entered into between the parties.
Any specific written agreement entered into between Lilyane Distribution SAS and a professional customer prevails over these General Terms of Sale.
1. Scope
These General Terms of Sale apply exclusively to business-to-business relationships. The website and collaboration opportunities presented are intended for a B2B audience.
Products distributed may nevertheless be marketed, depending on the agreements entered into and authorised channels, through networks or platforms accessible to professional customers or end consumers.
2. Orders
Orders, volumes, references, lead times, logistics arrangements and commercial terms are defined on a case-by-case basis between Lilyane Distribution SAS and the professional customer.
Any order implies acceptance of the specific conditions agreed between the parties and, unless otherwise stipulated, of these General Terms of Sale.
3. Prices and commercial terms
Sales prices are communicated exclusive of taxes unless otherwise stated and may vary depending on volumes, availability, logistics costs, market conditions and agreed terms.
Lilyane Distribution SAS retains its commercial autonomy in setting resale conditions, in compliance with applicable law and lawful agreements entered into with its partners.
4. Payment
Payment terms are specified in quotations, order confirmations, invoices or specific agreements. In the event of late payment, late-payment penalties and the statutory fixed recovery indemnity may apply.
5. Delivery and transfer of risk
Delivery arrangements, any Incoterms, indicative lead times and transfer of risk are defined in the specific terms of each order.
Lead times are indicative unless expressly agreed otherwise in writing. The professional customer must inspect the goods upon receipt and notify any reservations within the agreed time limits.
6. Retention of title
Lilyane Distribution SAS retains ownership of the products sold until full payment of the price, including costs and accessories, subject to mandatory applicable provisions.
7. Warranties and compliance
The applicable warranties are those provided by law between professionals and, where applicable, by the specific terms agreed between the parties.
Lilyane Distribution SAS cannot be held liable for improper use of the products, unauthorised modification or any breach attributable to the customer, a carrier or a third party.
8. Intellectual property and content
Trademarks, images, descriptions, logos, technical content and presentation materials used for product marketing remain the property of their respective owners.
The customer undertakes to use such elements only in accordance with the rights granted, authorised channels and applicable laws.
9. Liability
Lilyane Distribution SAS’s liability is limited to proven direct damages resulting from a breach attributable to it, excluding indirect losses, loss of revenue, operating losses, loss of opportunity or reputational harm.
10. Confidentiality
Commercial, pricing and logistics information, catalogues and documents exchanged between the parties are confidential and may not be disclosed to third parties without prior agreement, except where required by law or necessary to perform the order.
11. Governing law and disputes
These General Terms of Sale are governed by French law. In disputes between professionals, the parties shall seek an amicable solution before any legal action. Failing agreement, the competent courts shall be those within the jurisdiction of Lilyane Distribution SAS’s registered office, unless mandatory rules provide otherwise.
